Laboratory Terms of Engagement

1. Introduction
These terms govern laboratories and laboratory owners ("you" or "Laboratory") that receive requests, provide diagnostic testing, and deliver results through PadiDoctors. They are read together with our Terms of Use and Privacy Policy.
2. Independent service provider
You provide laboratory services as an independent service provider. Nothing in this Agreement creates employment, partnership, or agency between you and PadiDoctors. You remain responsible for your staff, taxes, insurance, facilities, equipment, supplies, and professional decisions.
3. Licensing and professional requirements
You must maintain every licence, registration, accreditation, permit, inspection, and approval required for your facility, personnel, and services, including requirements of the Medical Laboratory Science Council of Nigeria and other authorities that apply to you. You must promptly tell PadiDoctors if any required credential is restricted, suspended, expired, or revoked.
4. Laboratory services
You may receive test requests, accept payments, arrange or perform specimen collection, perform tests, and upload results. You must display accurate test names, prices, locations, contact details, opening hours, preparation instructions, and expected turnaround times, and promptly correct material changes.
5. Quality and patient safety
- Confirm the patient, request, specimen, and requested test before processing.
- Use qualified personnel, suitable equipment, validated methods, quality controls, and safe specimen handling.
- Report results accurately with units, reference ranges where appropriate, dates, and an authorised signatory.
- Escalate critical or life-threatening results promptly under applicable professional standards.
- Never fabricate, conceal, misleadingly alter, or upload a result for a test that was not properly performed.
- Clearly identify corrected reports, preserve the audit trail, and notify affected parties promptly.
6. Clinical boundaries
Laboratory results support clinical care but do not replace a doctor's diagnosis. Do not change a doctor's request without proper authorisation. Where clarification or a different test is needed, use the platform's approved communication process and document the reason.
7. Fees, commission, refunds, and payout
Current prices and the platform commission shown in the laboratory or admin workflow apply to each order. PadiDoctors may deduct the configured commission, refunds, reversals, taxes, or properly investigated adjustments before payout. Payout eligibility may depend on completion and upload of a valid result. You must not use the platform to divert patients to undisclosed off-platform payments.
8. Platform and account security
Keep credentials confidential, restrict access to authorised personnel, maintain secure devices and networks, and notify PadiDoctors promptly of suspected unauthorised access, data loss, fraud, or system misuse. You are responsible for activity performed through your account unless promptly reported as unauthorised.
9. Privacy and confidentiality
Patient information and laboratory results are confidential health data. Process them only for authorised care, payment, legal, and operational purposes; limit access to those who need it; use appropriate security; and comply with the Nigeria Data Protection Act 2023 and other applicable privacy laws. Notify PadiDoctors immediately of any suspected personal-data breach and cooperate with containment and required reporting.
10. Records, audit, and cooperation
Keep complete and accurate operational, quality-control, transaction, and result records for the legally required period. On reasonable request, provide information needed to verify credentials, investigate a complaint or payment dispute, protect patient safety, or meet a lawful regulatory obligation.
11. Suspension and termination
PadiDoctors may restrict or suspend access where reasonably necessary for patient safety, suspected fraud, falsified results, credential problems, privacy or security incidents, repeated service failures, or legal compliance. Either party may end the engagement subject to outstanding patient-care, record, refund, and payment obligations that survive termination.
12. Liability and insurance
You remain responsible for laboratory services, personnel, errors, omissions, and regulatory compliance. Maintain appropriate professional and public-liability insurance where required or reasonably appropriate. Each party remains responsible for loss caused by its own breach, negligence, fraud, or wilful misconduct, subject to applicable law.
13. Intellectual property and non-exclusivity
Each party retains its existing intellectual property. PadiDoctors grants only the limited, revocable right needed to use the platform. The engagement is non-exclusive, but PadiDoctors branding and patient data may not be reused outside authorised platform services.
14. Governing law and disputes
This Agreement is governed by the laws of the Federal Republic of Nigeria. The parties should first attempt good-faith resolution through PadiDoctors support before using any dispute process available under the Terms of Use or applicable law.
