Clinician Terms of Engagement

1. Introduction
These Clinician Terms of Engagement (“Agreement”) govern the participation of licensed clinicians (“you”, “Clinician”, “Doctor”) who provide telemedicine and related services on the PadiDoctors platform (“PadiDoctors”, “we”, “us”, “the Platform”).
PadiDoctors is a digital health platform that supports symptom triage, AI-assisted clinical decision support, and teleconsultations for patients in Nigeria and across West Africa. This Agreement is to be read together with the PadiDoctors Terms of Use and Privacy Policy.
2. Nature of Engagement & Status
2.1 You are engaged as an independent contractor, not as an employee, partner, franchisee, or agent of PadiDoctors. Nothing in this Agreement creates an employer–employee relationship.
2.2 You are responsible for your own taxes, pensions, statutory remittances, professional indemnity cover, licences, and regulatory fees.
2.3 You acknowledge that PadiDoctors provides a technology platform and does not itself practice medicine.
3. Licensure & Professional Requirements
3.1 You warrant that you hold a valid licence in good standing issued by the Medical and Dental Council of Nigeria (MDCN) or any other competent regulatory authority for your profession.
3.2 You agree to comply with all applicable laws and regulations, including without limitation:
- National Health Act 2014 (particularly Sections 26–30 on confidentiality and records);
- Nigeria Data Protection Act 2023 and Nigeria Data Protection Regulation (NDPR);
- MDCN rules and ethical guidelines, including telemedicine practice guidance where applicable;
- Any other professional codes applicable to your speciality or location of practice.
3.3 You must notify PadiDoctors immediately if your licence is suspended, revoked, restricted, or made subject to any disciplinary investigation that may affect your ability to practice.
4. Scope of Clinical Services
4.1 You will provide clinical services through the Platform, which may include:
- teleconsultations via text, audio, or video;
- review and interpretation of symptom triage and uploaded files;
- issuance of prescriptions where legally permitted;
- referrals to physical facilities, laboratories, or pharmacies;
- follow-up care and health education.
4.2 You remain solely responsible for the clinical quality, appropriateness, and correctness of all medical advice, diagnoses, and prescriptions you provide.
5. Clinician Obligations
5.1 You agree to exercise reasonable skill, care, and diligence consistent with professional standards, taking into account the limitations of telemedicine practice.
5.2 You must maintain clear, accurate, and timely clinical records for each consultation in accordance with professional standards and the National Health Act.
5.3 You will treat patients with respect, avoid discrimination, harassment, or abusive conduct, and keep professional boundaries at all times.
5.4 You must not prescribe controlled or restricted medicines in contravention of Nigerian law or regulatory guidance.
6. AI-Assisted Decision Support
6.1 PadiDoctors may provide AI-assisted triage or clinical decision support tools. These are intended to support, not replace, your professional judgment.
6.2 You agree to critically review all AI suggestions, verify information, and only provide advice or prescriptions that you independently consider clinically appropriate.
7. Compensation & Payments
7.1 Unless otherwise agreed in writing, you will be compensated based on a per-consultation, per-session, or revenue-share arrangement communicated to you through the Platform or a separate schedule.
7.2 PadiDoctors will make reasonable efforts to settle payments within the timelines communicated, subject to successful completion of consultations and applicable refund policies.
7.3 Where a refund is granted to a patient due to service quality concerns or breach of this Agreement, PadiDoctors may withhold or claw back the corresponding clinician fee.
8. Platform Use & Technology
8.1 You agree to use only your own verified account and keep your login credentials secure. Sharing accounts or passwords is prohibited.
8.2 You will ensure that your consultations are conducted in a private and secure environment where patient confidentiality can be maintained.
8.3 You must not attempt to reverse-engineer, copy, or otherwise interfere with the Platform’s technical infrastructure.
9. Data Protection & Confidentiality
9.1 You acknowledge that health information processed on PadiDoctors constitutes sensitive personal data under the Nigeria Data Protection Act 2023 and NDPR.
9.2 You agree to:
- access patient information strictly on a need-to-know basis for providing care;
- not download, store, or transmit patient data outside the Platform except where explicitly authorised;
- comply with all applicable data protection, privacy, and confidentiality obligations;
- promptly report any suspected data breach involving patient information.
10. Term & Termination
10.1 This Agreement commences when you accept it and continues until terminated by either party.
10.2 PadiDoctors may suspend or terminate your access to the Platform immediately if:
- you breach this Agreement or the Terms of Use;
- your licence is suspended, revoked, or restricted;
- serious complaints or safety concerns arise about your practice; or
- required to do so by a regulator or law enforcement agency.
10.3 You may terminate this Agreement by ceasing to use the Platform as a clinician and giving reasonable written notice, subject to completing any ongoing obligations to patients.
11. Liability & Indemnity
11.1 You acknowledge that PadiDoctors is a technology platform and does not itself provide medical care. You remain solely responsible for your clinical decisions, advice, prescriptions, and omissions.
11.2 You agree to indemnify and hold PadiDoctors harmless from any claims, losses, or expenses arising from your clinical practice, negligence, misconduct, or breach of this Agreement.
12. Non-Exclusivity & Non-Solicitation
12.1 Nothing in this Agreement prevents you from practising elsewhere or using other telemedicine platforms.
12.2 However, you agree not to solicit PadiDoctors patients outside the Platform using information gained through the Platform, except where the patient is already under your care independently of PadiDoctors.
13. Intellectual Property
13.1 All rights in the Platform, including software, triage tools, branding, and documentation, remain the property of PadiDoctors and its licensors.
13.2 This Agreement does not grant you any ownership rights in the Platform.
14. Governing Law & Dispute Resolution
14.1 This Agreement is governed by the laws of the Federal Republic of Nigeria.
14.2 The parties will first attempt to resolve disputes amicably. If unresolved, disputes may be referred to arbitration or the competent courts in Nigeria, subject to applicable law.
